Welcome to our Terms and Conditions of Use, this is a legal agreement between the User (individual or entity) and the company iNexxus Academy, headquartered at 7075 Kingspoint Pkwy, ste 14, Orlando, FL 32819 – United States of America, hereby represented by RENER MORONTA BAPTISTA.

 

Considering that the iNexxus Academy PLATFORM (hereinafter simply referred to as "PLATFORM"), offered by iNexxus Academy INC, is an Online Software that serves as a tool for providing "distance education management services" to its Users/Customers; 

 

Considering that through the "PLATFORM", Users/Customers can take online courses in modes known as EAD (Distance Learning) or LMS (Learning Management System) with the purpose of recruiting and introducing language courses. 

 

iNexxus Academy, through this TERMS OF USE AND RESPONSIBILITY, makes public the information related to the form of use and responsibilities. 

 

 

INTRODUCTION

Thank you for choosing iNexxus Academy. By signing up or using the service, websites, and software applications of iNexxus Academy, accessing any content or material made available by iNexxus Academy, you are entering a binding agreement with iNexxus Academy. 

 

iNexxus Academy includes social, interactive, and technical features. 

 

Your agreement with us includes these Terms and Conditions of Use ("Terms"). You acknowledge that you have read and understood the Agreements, accept these Agreements, and agree to abide by them. If you disagree with (or cannot comply with) the Agreements, then you may not use the Services or access any Content. 

 

To use the iNexxus Academy Service or access the Content, you need to (1) be 18 or older, or be 13 or older and have the consent of your parents or guardian regarding the Agreements (except as set out in the table below), (2) have the power to enter a binding agreement with us and not be prevented from doing so under any applicable laws, and (3) be a resident of a country where the Service is available. You also promise that any registration information you send to iNexxus Academy is true, accurate, and complete, and agree to keep it that way at all times. 

 

Occasionally, at our discretion, we may make changes to the Agreements. When we make material changes to the Agreements, we will provide you with appropriate notice depending on the circumstances. In some cases, we will notify you in advance, and your continued use of the Service after the changes have been made will constitute acceptance of the changes. Therefore, please be sure to read any such notice carefully. If you do not wish to continue using the Service, you may terminate the Agreements by contacting iNexxus Academy.

 

1 - PARTIES INVOLVED 

 

  1. 1.1. - The business relationship and exchange of information will develop through the relationship of the following Parties:

  3. a. "iNexxus Academy" - SERVICE PROVIDERS: Is the company iNexxus Academy licensing the "PLATFORM" which, using Online Software, will provide distance education management services and henceforth will be referred to simply as "iNexxus Academy". 
  4. b. "EDUCATORS" - SERVICE USERS: Are individuals or entities, teachers, speakers, trainers, administrators/owners/managers of educational material, trainers or similar, responsible for creating, managing, and selling courses (in EAD or LMS modes) who will be Users/Customers and will henceforth be referred to simply as "EDUCATORS". 
  5. c. "STUDENTS" - COURSE STUDENTS: Are individuals or entities who will benefit from courses (in EAD or LMS modes) created, managed, and sold by the "USERS" as end consumers of the courses, referred to simply as "STUDENTS".

2 - USE OF THE "PLATFORM" 
 
  1. 2.1. - Considering the licensing for distance education management, it is established that the use of the "PLATFORM" by "EDUCATORS" and "STUDENTS" will be done solely within the scope of "DISTANCE EDUCATION MANAGEMENT SERVICES THROUGH ONLINE SOFTWARE IN THE MODE software as a service (S.A.A.S.)".

  3. 2.2 - "EDUCATORS" and "STUDENTS" will only have access to the "PLATFORM" if they are logged in and identified. 
  4. 2.2.1 - Your password protects your user account, and you are solely responsible for keeping your password confidential and secure. You understand that you are responsible for all use of your username and password on the Service. If your username or password is lost or stolen, or if you believe there has been unauthorized access to your account by third parties, inform us immediately and change your password as soon as possible. 
 
  1. 2.3 - For "EDUCATORS" to use the platform to conduct courses, they must obtain, through payment, an active monthly subscription that will provide access to the "PLATFORM" features.

  3. 2.4 - For "STUDENTS" to have access to courses created by "EDUCATORS", they must obtain, through direct hiring of "EDUCATORS", an active subscription that will provide access to the "PLATFORM". 
  4. 2.4.1. - "EDUCATORS" are the legitimate managers of "STUDENTS" access to the "PLATFORM" with only "EDUCATORS" defining all course conditions and features, including their content, proposals (commercial and educational), prices, terms and payment and course availability conditions, as well as the treatment of "STUDENTS'" personal data. 
  5. 2.4.2. iNexxus Academy will not have any interference (educational, commercial, labor, strategic, marketing, advertising, etc.) in the relationship between "EDUCATORS" and "STUDENTS", being responsible for providing and operating the "PLATFORM" which will serve as a tool to "EDUCATORS" for creating, managing, and selling courses.

  7. 2.5 - In cases where "EDUCATORS" receive usage instructions from iNexxus Academy, they should immediately pass on such guidance to their representatives, partners, collaborators, teachers, employees for better use of the "PLATFORM".

  9. 2.6 - "EDUCATORS" should ensure that their representatives, partners, collaborators, teachers, and employees, before using the "PLATFORM", have access and knowledge to the current "TERMS OF USE AND RESPONSIBILITY - iNexxus Academy" and the "DIGITAL PRIVACY POLICY - iNexxus Academy".

  11. 2.7 - iNexxus Academy is exempt from any and all responsibility derived from the quality and conditions of the products offered by EDUCATORS that may be sold in its virtual environment, this charge being to the Parties that are part of the direct purchase and sale negotiation of the products presented by EDUCATORS.

  13. 2.8 - iNexxus Academy does not provide the routine of backing up inserted content, except for a cancellation request of the instance.

3 - USER'S RIGHT, ITS ETHICAL, EDUCATIONAL, AND LEGAL USE OF THE "PLATFORM" 
 
  1. 3.1 - iNexxus Academy may, but has no obligation to, monitor, review, or edit User Content. In all cases, iNexxus Academy reserves the right to remove or disable access to any User Content for any or no reason, including, among others, User Content that, in the sole discretion of iNexxus Academy, violates the Agreements. iNexxus Academy may take these actions without prior notification to you or any third party. Removal or disabling of access to User Content shall be at the sole discretion of iNexxus Academy, and we do not promise to remove or disable access to any specific User Content.

  3. 3.2 - You are solely responsible for all User Content that you upload. iNexxus Academy is not responsible for User Content nor does it endorse any opinion contained in any User Content. YOU AGREE THAT IF ANYONE BRINGS A CLAIM AGAINST INEXXUS ACADEMY RELATED TO USER CONTENT THAT YOU POST, THEN, TO THE EXTENT PERMISSIBLE UNDER LOCAL LAW, YOU WILL INDEMNIFY AND HOLD INEXXUS ACADEMY HARMLESS FROM AND AGAINST ALL DAMAGES, LOSSES, AND EXPENSES OF ANY KIND (INCLUDING REASONABLE ATTORNEY FEES AND COSTS) ARISING OUT OF SUCH CLAIM.

  5. 3.3 - The User who uses any nominative or figurative trademark agrees, declares, and ensures that they are authorized to grant all permissions and licenses provided in the Agreements and to bind the Brand that they use in their User profile. Also, they agree, declare, and ensure that they are authorized to use an artistic name without causing any harm to the image of a third party.

  7. 3.4 - "STUDENTS" and "EDUCATORS" must, during the relationship they develop with each other and with "iNexxus Academy", observe the commandments and ethical, moral, and legal principles applicable to their individual and jointly considered conducts.

  9. 3.5 - "EDUCATORS" and "STUDENTS" can only use the "PLATFORM" if they agree with the "iNexxus Academy PRIVACY POLICY" and with the conditions established in this document (TERMS OF USE AND RESPONSIBILITY - iNexxus Academy).

  11. 3.6 - The legal, ethical, and moral duties that must be obeyed by all, "iNexxus Academy", "STUDENTS", and "EDUCATORS" include, as examples, the duty to: 
  12. a. observe intellectual property standards regarding all content available on the "PLATFORM";
  13. b. mutual respect and civilized treatment among those involved in service provision; 
  14. c. not commit crimes through the "PLATFORM", especially crimes against honor, property, and against intangible property; 
  15. d. not harm third-party rights. 
  16. e. respect the rules that protect and regulate the treatment of personal data. 
  17.  
  18. 3.7 - The provision of services and the creation, management, and marketing of courses must be oriented to the use of the "PLATFORM" with the main purpose of promoting the provision of educational services in a broad sense. For this reason and the values of the entire iNexxus Academy team, the following business and content categories are not accepted on the "PLATFORM", so they are prohibited: 
  19. a. Betting (lotteries, animal games, gambling, and others); 
  20. b. Contents taken from third parties, stolen or robbed; 
  21. c. Contents that violate the intimacy, honor, image, name, or any other third-party personality right; 
  22. d. Contents related to pedophilia, prostitution, or similar, pornographic material, containing scenes of nudity or sexual acts, or in some way obscene or contrary to morality and good customs; 
  23. e. Contents related to pyramid schemes, multi-level marketing, etc.; 
  24. f. Contents that promote violence and/or discrimination based on race, sex, religion, nationality, sexual orientation, or any other kind; 
  25. g. Contents promising a cure for health problems without the endorsement of a recognized specialized organization; 
  26. h. Contents containing music and videos in any format, when they are not expressly authorized by the artist or record label owning the copyrights; 
  27. i. Contents that violate third-party intellectual rights, such as products that breach software, copyright, patents, trademarks, industrial models and designs, especially products containing software for OEM, NFR, copies and/or backup files, license, academic programs and/or developed for an educational entity, or industrial secrets; 
  28. j. Dropshipping; k. International purchase intermediaries; 
  29. k. Products or services with pornography, sex, and nudity. Any content suggesting nudity, partial nudity, pornography, sex, or any content characterized as adult content is prohibited; 
  30. l. Illegal products or services. Any content suggesting violence, discrimination, illegal acts, transgressions, hatred, or that causes any discomfort to someone or some company is prohibited; 
  31. m. Products or content about firearms, narcotics, toxic substances, and any kind of illegal drugs; 
  32. n. Any product or service that infringes the copyright laws, trademarks, or commercial rights of any third party.

  34. 3.8 - If "EDUCATORS" use any prohibited content, product, and service mentioned in the previous paragraph, the services provided by the "PLATFORM" will be immediately canceled.

4 - INTELLECTUAL PROPERTY AND THIRD PARTY SOFTWARE
 
  1. 4.1 - The "EDUCATORS" may only offer courses: 
  2. a. that are of their creation or their legitimate property 
  3. b. authorized by the holders of their intellectual or industrial property 
  4.  
  5. 4.2 - The software applications and the Content of iNexxus Academy are licensed, not sold, to you, and iNexxus Academy and its licensors retain ownership of all copies of the software and the Content of iNexxus Academy, even after use on your personal computers, mobile phones, tablets, and/or other relevant devices ("Devices").

  7. 4.3 - All trademarks, service marks, trade names, logos, domain names of iNexxus Academy, and any other features of the iNexxus Academy brand ("iNexxus Academy Brand Features") are the exclusive property of iNexxus Academy or its licensors. 
  8.  
  9. 4.4 - You agree to comply with our guidelines and not use the iNexxus Academy Service, Content, or any part thereof in any manner not expressly permitted by the Agreements. Except for the rights expressly granted to you in these Agreements, iNexxus Academy grants no right, title, or interest to you in the Service or iNexxus Academy Content.

  11. 4.5 - If you are using our Services on behalf of a company, that company accepts these terms. It will hold harmless and indemnify iNexxus Academy and its affiliates, officers, agents, and employees from any claim, lawsuit, or action arising from or related to the use of the Services or the breach of these terms, including any liability or expense arising from claims, losses, damages, lawsuits, judgments, litigation costs, and attorney's fees.

  13. 4.6 - The iNexxus Academy Service is integrated with third-party applications, websites, and services ("Third-Party Software") to make content, products, and/or services available to you. These Third-Party Softwares may have their own terms and conditions of use and privacy policies, and the use of these Third-Party Softwares will be governed by and subject to such terms and conditions and privacy policies. You understand and agree that iNexxus Academy does not endorse and is not responsible for the behavior, features, or content of any Third-Party Software, or for any transaction you may make with the provider of such Third-Party Software.

5 - ISSUANCE OF CERTIFICATES 
 
  1. 5.1 - The "EDUCATORS" may use the electronic tools available on the "PLATFORM" to issue electronic certificates and for this, they will choose the information that should appear and what will be certified, according to their educational/commercial proposal and their private relationship with the "STUDENTS".

6 - DISCLAIMER OF LIABILITIES 
 
  1. 6.1 - The opinions and ideas expressed in the courses, debate forums, and spaces for comments available on the "PLATFORM" do not express the opinion of "iNexxus Academy", but only the opinion of the "EDUCATORS" and "STUDENTS" who issue them. 
 
7 - WARRANTY AND LIABILITY TERM 
 
  1. 7.1 - iNexxus Academy strives to provide the best service, but you understand and agree that the iNexxus Academy service is provided "as is" and "as available", without any express or implied warranty or condition of any kind. You use the iNexxus Academy service at your own risk. To the fullest extent permitted by applicable law, iNexxus Academy and all content owners make no representations and disclaim any warranties or conditions of satisfactory quality, merchantability, fitness for a particular purpose, or non-infringement. Neither iNexxus Academy nor any content owner guarantees that the iNexxus Academy service is free from malware or other harmful components. Furthermore, iNexxus Academy does not represent or warrant, endorse, guarantee, or assume responsibility for any third-party services (or their content), user content, or any other product or service advertised or offered by a third party on, or through the iNexxus Academy service, or any hyperlinked website, or integrated into any banner or other advertisement. You understand and agree that iNexxus Academy is not responsible for any transaction between you and third-party providers of applications or products, or services advertised on or through the iNexxus Academy Service. As with the purchase of a product or service through any medium or in any environment, you should use your judgment and exercise caution where appropriate. No advice or information, whether oral or written, obtained by you from iNexxus Academy shall create any warranty on behalf of iNexxus Academy in this regard. Some aspects of this section may not apply in some jurisdictions if prohibited by applicable law.

  3. 7.2 - This does not affect your statutory rights as a consumer. 
 
8 - LIMITATION 
 
  1. 8.1 - You agree that, to the fullest extent permitted by applicable law, your sole and exclusive remedy for any problems or dissatisfaction with the iNexxus Academy service is to stop using iNexxus Academy. While iNexxus Academy does not assume any responsibility for third-party services or their content, and while your relationship with such third-party services may be governed by separate agreements with such third parties, to the fullest extent permitted by applicable law, your sole and exclusive remedy, with respect to iNexxus Academy, for any problems or dissatisfaction with third-party applications or their content, is to uninstall and/or stop using such third-party applications. 
 
9 - INDEMNIFICATION 
To the fullest extent permitted by applicable law, you agree to indemnify and hold iNexxus Academy harmless from all damages, losses, and expenses of any kind (including reasonable attorney's fees and costs) arising out of:
 
  1. 1. your breach of this Agreement;
  2. 2. any User Content;
  3. 3. any activity in which you engage on or through the iNexxus Academy Service; and
  4. 4. your violation of any law or the rights of a third party. 
 
10 - APPLICABLE LAW / JURISDICTION 
 
This Term will be governed, interpreted, and subject to laws and, the User and the Licensor hereby elect, irrevocably and unrevocably, to resolve any doubts or controversies arising from this Term, excluding any other, however privileged it may be. 
 
Unless required by mandatory law, the Agreements (and any non-contractual disputes/claims arising out of or in relation to them) are subject to the laws of the state or country, regardless of the choice or conflicts of legal principles. Thank you for reading our Terms.
